DEPS Governance
The Directed Energy Professional Society is incorporated as a nonprofit
corporation in New Mexico, organized and operated exclusively for charitable, scientific, and educational purposes
within the meaning of Sections 170(c)(2)(B ), 501(c)(3), 2055(a)(2), and 2522(a)(2) of the Internal Revenue Code
of 1986 as amended. DEPS operations and activities are also governed by its Bylaws.
The Society's annual year corresponds to the calendar year. The Annual Reports for past years, availble
through the table at the right, are briefed to the DEPS membership each year at the Annual Directed Energy
Science and Technology Symposium.
DEPS Directors Conflict of Interest Policy
Members of the DEPS Board of Directors are prohibited from involvement in DEPS activities that have either the appearance or the reality
of a conflict of interest between their DEPS position and responsibilities, and their private capacities. If such a conflict of interest
arises, DEPS Board of Directors members are required to recuse themselves from Board of Directors decisions or recommendations in order to
avoid the appearance or reality of such a conflict of interest. For example, Board members who are employees of the government or private
firms must recuse themselves from participating in discussions and decisions regarding their organizations doing business with DEPS.
This example typifies but does not exhaust the situations that can require individual Board members to recuse themselves due to conflicts of interest.
DEPS Policy on Lobbying
Lobbying involves the advocacy of an interest that is affected, actually or potentially, by the decisions of government leaders. Education,
as distinct from lobbying, is allowed when DEPS presents unbiased factual information.
DEPS shall not engage in lobbying activities.
DEPS Miscellaneous Policies
The sense of the DEPS Board of Directors is that DEPS will not participate in any activities for which a majority of the Board of Directors
members cannot be involved. DEPS By-Laws are the governing set of rules.
The Board of Directors delegates full responsibility for activities related to the Joint Directed Energy
Transition Office to the DEPS Executive Director.
